Terms of Use

1. Acceptance & definitions
By accessing Nabunam (the “Platform”), you accept these Terms of Use (the “Terms”). “Nabunam,” “we”: Nabunam inc. “User,” “you”: any person who accesses or uses the Platform.
2. Eligibility, accounts & security
- You must have the legal capacity to accept the Terms. Minors use the Platform under the supervision of the institution or the holder of parental authority.
- You are responsible for keeping your credentials confidential and for any activity carried out with your account. Notify us immediately of any unauthorized access.
- We may require verification (e.g., email) and suspend an account in the event of a security risk, fraud, or violation.
3. Acceptable use
- Compliance with applicable laws and your institution’s pedagogical rules.
- Prohibited: cheating, technical circumvention, unauthorized penetration testing, distribution of malware, identity theft, harassment, infringement of the rights of others, unlawful data collection, use for unsolicited advertising.
- No use that overloads or disrupts the Platform (e.g., aggressive scraping, abusive automation).
4. User content & license
You retain your rights to the content you import, submit, or create (“Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, and process the Content solely for the purposes of operating the Platform and providing the services (including backups, security, non-intrusive improvement, and support). You warrant that you hold the necessary rights and that you do not infringe any third-party rights.
5. School institutions & contractual hierarchy
- Where your institution (the “Client”) has signed a contract or specific terms, those documents prevail in the event of a conflict with these Terms.
- The institution’s data is processed in accordance with the contract and our Privacy Policy.
6. Intellectual property
The Platform, its components (software, interfaces, databases, trademarks, logos), and content provided by Nabunam are protected and remain the exclusive property of Nabunam inc. or its licensors. Any unauthorized reproduction, modification, distribution, or reverse engineering is prohibited.
7. Third-party services/links
The Platform may contain links or integrations to third-party services (e.g., storage, messaging, payment, SSO). We do not endorse these services and do not control their practices. Their use is governed by their own terms.
8. Service changes
We may modify, suspend, or discontinue features for technical, security, or improvement reasons. Where the impact is significant, we aim to provide reasonable notice.
9. Availability, support & beta features
- The Platform is provided “as is” and “as available.” We implement reasonable measures for availability and support.
- Features identified as “Beta” are experimental, may change or be discontinued, and are provided without any performance commitment.
10. Warranties, disclaimers & limitation
To the extent permitted by law, the Platform is provided without express or implied warranty. Nabunam will not be liable for indirect, special, incidental, punitive, or consequential damages, nor for loss of profits, data, or reputation, arising from the use or inability to use the Platform. Some jurisdictions (including Quebec) do not allow certain exclusions: the above limitations then apply to the extent permitted.
11. Indemnification
You agree to indemnify Nabunam against any third-party claim related to your Content or your use of the Platform in violation of these Terms or the law (to the extent permitted by law).
12. Suspension & termination
- You may stop using the Platform at any time.
- We may suspend or terminate access in the event of a violation, security risk, fraud, or legal obligation.
- Sections intended to survive (intellectual property, limitation, indemnification, governing law, etc.) survive termination.
13. Miscellaneous provisions
- Notices: by posting on the Platform, email, or in-app notification.
- Force majeure: no liability for events beyond reasonable control (e.g., network outages, disasters, conflicts).
- Assignment: you may not assign your rights without our written consent; we may assign our rights as part of a reorganization/asset transfer.
- Severability: if a clause is invalid, the remainder remains in effect.
- Language: in the event of translation, the French version prevails in Quebec.
- Changes to the Terms: we may update these Terms; the update date appears at the top. Continued use after the effective date constitutes acceptance.
14. Governing law & competent court
These Terms are governed by the laws in force in Quebec and applicable Canadian law, without regard to conflict of law principles. Any dispute will be submitted to the competent courts of the judicial district of Montreal (Quebec).
